A company is looking for a Corporate Development Counsel.Key ResponsibilitiesStructure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investmentsLead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholdersServe as the primary legal advisor to the Corporate Development team, providing strategic and tactical advice on deal structures and negotiation strategyRequired QualificationsJuris Doctor (J.D.) from an accredited law school with active membership in at least one state barAt least 4 years of relevant legal experience with a focus on M&A, including hands-on experience in drafting and negotiating complex transaction agreementsExpertise in all facets of the M&A lifecycle and a strong understanding of corporate law, contract law, and securities lawExperience at a law firm in its M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plusDemonstrated ability to understand business objectives and apply legal principles in a pragmatic manner
